1. Agreement

These Terms apply to services provided by Deia AI Ltd trading as VocalWeb (“VocalWeb”, “we”, “us”) and you (“Client”, “you”). By purchasing or using our services, you agree to these Terms.

2. Services

VocalWeb provides business-to-business (“B2B”) software and services including AI automation, CRM workflows, voice and messaging tools, and related implementation/support (“Services”). Access is granted on a subscription basis unless otherwise agreed in writing.

We may use third-party providers to deliver parts of the Services (for example telephony, messaging and AI providers). We are not responsible for outages or failures caused by third parties outside our control.

3. Setup, delivery and your responsibilities

Implementation timelines depend on scope and Client responsiveness (e.g., providing business details, scripts, approvals, and access to required systems/numbers). You are responsible for ensuring you have the right to use any data, phone numbers, scripts, and content you provide and that your use of the Services complies with applicable laws and regulations. After purchase, we’ll contact you to confirm requirements and begin setup. Service access is provided digitally.

4. Billing and payments

Subscription fees are billed in advance on a recurring basis (e.g., monthly) unless otherwise agreed.

Some services may include usage-based costs (e.g., SMS/telephony). Where applicable, these are billed at cost (no markup) or as otherwise agreed in writing.

If a payment fails or becomes overdue, we may suspend access to the Services until payment is made.

5. Cancellation

You may cancel your subscription at any time via your portal (where available) or by emailing [email protected]. Cancellation prevents future renewals. Unless we agree otherwise, your subscription remains active until the end of the current billing period.

6. Refunds

Due to immediate provisioning, setup work, and the digital nature of the Services, all payments are non-refundable, including partial months. We do not provide prorated refunds for cancellations mid-billing period.

Where an implementation or setup fee has been paid, that fee is non-refundable once work has started, unless we agree otherwise in writing.

7. Acceptable use and compliance

You must not use the Services for unlawful, harmful, deceptive, or abusive activity. You are responsible for ensuring your communications and use of voice/SMS/AI tools complies with applicable law (including consent and communications rules where relevant).

8. Limitation of liability

To the maximum extent permitted by law:

Our total liability arising from or relating to the Services is limited to the amount paid by you to us in the 30 days prior to the event giving rise to the claim.

We are not liable for indirect or consequential losses, including loss of profit, revenue, goodwill, or loss of data.

Nothing in these Terms limits liability where it cannot be limited under law (e.g., fraud).

9. Governing law

These Terms are governed by the laws of England and Wales, and disputes are subject to the courts of England and Wales.
